7. LIMITATION OF LIABILITY AND INDEMNIFICATION

Maximum Liability: To the maximum extent permitted by the laws of England and Wales, Nexodyne’s total aggregate liability to you for any and all claims, actions, suits, or proceedings arising out of or related to these Terms, the Services, or your use thereof—whether in contract, tort (including negligence), breach of statutory duty, or otherwise—shall be strictly limited to the total amount paid by you to Nexodyne Limited in the thirty (30) days immediately preceding the event giving rise to the claim.

7.2. Exclusions: Nothing in these Terms shall limit or exclude Nexodyne's liability for death or personal injury caused by its negligence, or for fraud or fraudulent misrepresentation, as such exclusions are prohibited by UK law.

7.3. Indemnification: You agree to indemnify, defend, and hold harmless Nexodyne Limited, its directors, officers, and employees from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) arising from your violation of these Terms or your misuse of the Services.

8. SEVERABILITY AND WAIVER
‍8.1. If any provision or part-provision of these Terms is or becomes invalid, illegal, or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision shall be deemed deleted. Any modification to or deletion of a provision shall not affect the validity and enforceability of the rest of these Terms.

8.2. No failure or delay by Nexodyne in exercising any right or remedy provided under these Terms or by law shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy.

9. GOVERNING LAW AND JURISDICTION

‍9.1. These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation, shall be governed by and construed in accordance with the laws of England and Wales.

9.2. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter.
